Terms of use for proofed.social

§ 1 Scope of Application

These Terms and Conditions ("Terms") apply to all services provided by Balane GmbH (hereinafter "Provider") through the proofed.social platform (hereinafter "Platform" or "Service").

These Terms apply to entrepreneurs within the meaning of § 14 BGB (German Civil Code). The use of the Platform by consumers within the meaning of § 13 BGB is excluded.

Deviating, conflicting or supplementary terms of the user shall only become part of the contract if the Provider has expressly agreed to their validity in writing.

§ 3 Description of Services

The Provider operates a web-based platform for verifying business metrics. The Platform enables in particular:

  • Connection of payment service providers (e.g., Stripe, Amazon) via their APIs
  • Automated collection and verification of revenue and transaction data
  • Creation of verified certificates and badges
  • Provision of public profiles to display verified metrics
  • Generation of embeddable widgets and verification links

Verification is performed through technical examination of data retrieved via APIs. The Provider does not guarantee the accuracy of data transmitted by third-party providers.

The Provider reserves the right to expand, restrict or modify the functionality of the Platform at any time, provided this is reasonable for the user.

§ 4 Registration and Contract Formation

Use of the Platform requires registration. Upon completion of registration, a usage contract is formed between the user and the Provider.

The user is obligated to provide truthful and complete information during registration. Changes to data must be updated immediately.

Each user may only create one account. Sharing access credentials with third parties is prohibited.

The Provider reserves the right to reject registrations without giving reasons or to suspend or delete user accounts in case of violations of these Terms.

§ 5 User Obligations

The user agrees to:

  • Use the Platform only for lawful purposes
  • Not provide false, misleading or fraudulent information
  • Not manipulate transmitted data or the verification process
  • Keep account credentials confidential and protect them from unauthorized access
  • Provide API credentials for third-party providers with only the minimum required permissions (read-only access)

In case of violation of these obligations, the Provider is entitled to immediately suspend the user account, revoke issued certificates and assert claims for damages.

§ 6 Verification and Certificates

Verification is based on data retrieved via the APIs of connected payment service providers. The Provider verifies the technical integrity of data transmission.

Issued certificates only confirm that certain data was retrieved via connected APIs at the time of verification. They do not constitute an audit in the sense of a financial audit.

The Provider reserves the right to introduce verification levels and to revoke certificates in case of suspected manipulation or technical errors.

Certificates have limited validity. They automatically become invalid upon expiration or disconnection of data sources.

§ 7 API Access and Data Security

By entering API credentials, the user authorizes the Provider to retrieve data from connected payment service providers. The Provider uses read-only access exclusively and does not make any changes to user accounts.

API credentials are stored encrypted. The Provider employs industry-standard security measures to protect data from unauthorized access.

The user is solely responsible for ensuring that provided API access includes only the necessary minimum permissions (read-only access). The Provider is not liable for damages resulting from excessive permissions.

§ 8 Pricing and Payment

Use of the basic version of the Platform is free. The Provider reserves the right to introduce paid premium features.

For paid services, the prices displayed on the Platform at the time of ordering apply. All prices are exclusive of statutory VAT.

Invoices are payable within 14 days of the invoice date without deduction, unless otherwise agreed.

§ 9 Intellectual Property

All rights to the Platform, including software, design, logos and content, remain with the Provider or its licensors.

The user receives a simple, non-transferable right to use the Platform for the duration of the contract.

The user may embed the provided badges and widgets on their own websites and social media profiles as long as the verification status is valid.

§ 10 Liability

The Provider is liable without limitation for damages arising from injury to life, body or health, as well as for intentional conduct and gross negligence.

In case of slight negligence, the Provider is only liable for breach of essential contractual obligations (cardinal obligations). In this case, liability is limited to the typical, foreseeable damage.

The Provider is not liable for the accuracy, completeness or timeliness of data transmitted by third-party providers (e.g., Stripe, Amazon).

The Provider is not liable for damages caused by outages, errors or security vulnerabilities at third-party providers.

The Provider assumes no liability for business decisions made based on displayed verifications.

§ 11 Indemnification

The user indemnifies the Provider against all claims by third parties arising from violations by the user of these Terms, applicable law or third-party rights. This includes reasonable costs of legal defense.

§ 12 Contract Duration and Termination

The usage contract is concluded for an indefinite period and may be terminated by either party at any time without giving reasons with 14 days' notice to the end of the month.

The right to extraordinary termination for good cause remains unaffected. Good cause exists in particular in case of serious violations of these Terms.

Upon termination of the contract, all user certificates are revoked and public profiles are deactivated.

The user may export their data before contract termination. After a transition period of 30 days, data will be deleted unless statutory retention obligations apply.

§ 13 Changes to Terms

The Provider reserves the right to amend these Terms with effect for the future. Changes will be communicated to the user by email at least 30 days before taking effect.

If the user does not object within 30 days of receiving the amendment notice, the new Terms shall be deemed accepted. This consequence will be specifically noted in the amendment notice.

§ 14 Data Protection

The processing of personal data is governed by the Provider's privacy policy, available at proofed.social/datenschutz.

§ 15 Final Provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.

The place of jurisdiction for all disputes arising from or in connection with this contract is Munich, provided the user is a merchant, legal entity under public law or special fund under public law.

Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected. In place of the invalid provision, a valid provision shall be deemed agreed which comes closest to the economic purpose of the invalid provision.

There are no oral side agreements. Amendments and supplements to this contract require text form.
